The deal will be executed via Horizon Aero Solutions Ltd, a joint venture equally held by Adani Defence & Aerospace and Prime Aero.

Adani Defence & Aerospace, the defence and aerospace arm of the $32.5 billion Adani Group, has signed a binding agreement to acquire a 100 per cent stake in Indamer Technics Pvt. Ltd (ITPL), one of India’s leading private-sector maintenance, repair and overhaul (MRO) companies.

The acquisition will be executed through Horizon Aero Solutions Ltd, a 50:50 joint venture between Adani Defence & Aerospace and Prime Aero, a company owned by aviation entrepreneur Prajay Patel. The partnership combines Adani’s infrastructure scale with Indamer’s engineering depth, reinforcing the group’s position as India’s largest private MRO network.

Jeet Adani, Director, Adani Airports, noted that India’s aviation sector is undergoing a transformative phase, with domestic carriers expected to induct over 1,500 aircraft in the coming years.

“This acquisition is a pivotal step in our mission to establish India as a premier global MRO destination. It strengthens our commitment to building an integrated aviation services ecosystem that supports the nation’s infrastructure ambitions,” he said.

“Our goal is to create a single-point aviation services platform driven by world-class quality standards and customer satisfaction. We are determined to shape the future of India’s skies,” he added.

Strategically located in the MIHAN Special Economic Zone (SEZ) in Nagpur, ITPL operates a state-of-the-art greenfield facility spread across 30 acres, with capacity for 15 aircraft bays across 10 hangars. The facility is certified by India’s Directorate General of Civil Aviation (DGCA), Federal Aviation Administration (US), and other global aviation regulators.

An MRO Milestone

Ashish Rajvanshi, CEO, Adani Defence & Aerospace, described the acquisition as a milestone in delivering full-spectrum MRO solutions for both commercial and defence aviation.

“Following the addition of Air Works to our portfolio, this acquisition significantly enhances our capabilities and pan-India footprint. Nagpur’s central location adds immense operational value and scalability,” he said.

“Together with Air Works, we will unlock synergies that drive integrated solutions and operational excellence across the aviation value chain.”
